NOTICE AND TERMS OF USE — RIVIAN EDR RECOVERY KIT
Event Data Recorder (EDR) Recovery Kit
These Terms of Use (“Terms”) constitute a legally binding agreement between Rivian Automotive, LLC (“Rivian,” “us,” or “we”) and the individual or entity (“User” or “you”) accessing, connecting, or using the Rivian EDR Recovery Kit (“Kit”). By purchasing, accessing, connecting to, or using the Kit, you agree to be bound by these Terms. If you do not agree to these Terms, do not purchase, access, connect to, or use the Kit.
Permitted Use and Instructions
Certain Rivian vehicles are equipped with event data recorders (EDR). The Kit and associated software are provided solely for retrieving EDR data from supported Rivian vehicles. You shall use the Kit and software exclusively on supported Rivian vehicles and strictly in accordance with all provided user manuals, safety instructions, and technical specifications (the “Documentation”). Any use of the Kit on non-Rivian vehicles, or any operation inconsistent with the Documentation, is strictly prohibited, voids all technical support and compatibility assurances, and is done entirely at your own risk. Rivian disclaims all liability for vehicle damage, software error, or data corruption resulting from improper or non-compliant use.
Manufacturer and Warranty
The Kit is not manufactured by Rivian or its affiliates. The Kit is manufactured, sold, and distributed by MPCM Inc. under a license from Rivian, pursuant to 49 CFR § 563.12. Any manufacturer’s warranty, customer support, and replacement parts for the Kit, if applicable, are provided solely by MPCM Inc. (not Rivian). Any warranty by MPCM Inc. is available at https://mpcmfg.com/return-warranty-policy/.
Returns
**ALL SALES OF THE KIT ARE FINAL. NO RETURNS, REFUNDS, OR EXCHANGES WILL BE ACCEPTED OR PROCESSED AFTER PURCHASE.** It is your responsibility to confirm compatibility with the vehicle prior to purchase.
Order of Precedence
Any software associated with the Kit is governed by the End User License Agreement between Rivian Automotive, LLC and the entity or organization on whose behalf the software is accessed or used, presented to and accepted by the User via a pop-up prompt upon first launch of the software (the “EULA”), which is incorporated herein by reference. In the event of any conflict or inconsistency between these Terms and the EULA with respect to software, software-generated data, licensing, or use of the Kit’s associated software, the EULA shall control and govern. These Terms control solely with respect to the general and hardware-specific terms, as well as matters not addressed by the EULA.
No Evaluation of Condition or Compatibility
Rivian has not evaluated the Kit’s condition, remaining service life, or its impact on the performance or safety of any vehicle onto which it is connected or installed, and makes no representation as to its continued fitness for use. Warranty and support for the Kit, if any, are governed solely by MPCM Inc. (see https://mpcmfg.com/return-warranty-policy/), and typically do not extend to used or previously installed items. The User is responsible for inspecting the Kit and confirming correct vehicle compatibility and fitment prior to connection.
Term
These Terms remain in effect for as long as the User possesses, connects, accesses, or uses the Kit and EDR data.
User Responsibility
The User is solely responsible for:
- Properly connecting and operating the Kit in accordance with MPCM Inc.’s instructions;
- Verifying that the Kit’s firmware, software, and any applicable licensing are current before relying on any retrieved data;
- Ensuring that any person operating the Kit or interpreting its output holds training or certification appropriate to the intended use; and
- Independently verifying the accuracy of any data before relying on it for any legal, insurance, safety, or investigative purpose.
Limitation of Liability
By purchasing, accessing, connecting, or using the Kit or EDR data, the User assumes all risks associated therewith and acknowledges that Rivian shall not be liable, without limitation, for any direct, indirect, consequential, or punitive damages, or attorney’s fees, arising from or related to such purchase, access, connection, or use. This includes, but is not limited to, damages resulting from misinterpretation, improper analysis, reliance on EDR information, improper connection, hardware malfunction, vehicle damage, connector damage, physical injury during connection, outdated firmware or licensing, unqualified use, or reliance on EDR information.
Disclaimer of Warranties
**EXCEPT FOR RIVIAN’S REGULATORY COMPLIANCE OBLIGATIONS UNDER 49 CFR PART 563, AND TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, RIVIAN PROVIDES NO WARRANTIES, EXPRESS OR IMPLIED, REGARDING THE KIT, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR ERROR-FREE OPERATION.**
Release; Indemnification
By purchasing, accessing, connecting, or using the Kit, EDR data, or reports, the User further expressly waives and releases any and all claims against Rivian and its agents, affiliates, successors, and assigns, arising from or related to the Kit or EDR data, and agrees to indemnify and hold them harmless from any claims, demands, actions, liabilities, damages, or expenses (including attorney’s fees) asserted by third parties in connection with the User’s access to, connection of, use of, or reliance upon the Kit, EDR data, or related reports.
No Duty Beyond Applicable Law; Severability
These Terms shall not be construed to impose any duty, obligation, or liability on Rivian except to the extent expressly required by applicable law. All other duties, obligations, and liabilities are expressly disclaimed. If any provision of these Terms, including the indemnification or release provisions, is held by a court of competent jurisdiction to be invalid, illegal, or unenforceable, that provision shall be limited or severed to the minimum extent necessary to make it enforceable, and the remaining provisions shall remain in full force and effect.
Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict-of-law provisions. The parties hereby submit to the exclusive jurisdiction of the state and federal courts located in Orange County, California, for resolution of any disputes arising from or related to this Agreement.
Entire Agreement
These Terms, together with the EULA referenced above, constitute the entire agreement between the User and Rivian with respect to the Kit and its associated software, and supersede all prior or contemporaneous discussions, representations, or agreements, whether oral or written, relating to the same subject matter.
Assignment
Rivian may assign or transfer its rights and obligations under this notice, in whole or in part, without notice or consent, including in connection with a merger, acquisition, reorganization, or sale of assets.
Purchase Transaction Not Governed
These Terms do not govern the purchase transaction itself. Rivian is not the seller of the Kit. Claims relating to the sale, shipping, condition, or refund of the Kit should be directed to MPCM Inc. and its affiliates, subject to their own terms of sale.
Effective Date and Modifications
These Terms take effect on the Effective Date set forth above. Rivian reserves the right to modify or update these Terms at any time, in its sole discretion, by posting the revised version on its website or providing notice through reasonable electronic means. Any modifications will apply prospectively and take effect immediately upon posting or on the date specified. Your continued access to or use of the Kit or related software after such notice constitutes your binding acceptance of the updated Terms; if you do not agree, your sole remedy is to discontinue use of the Kit and related software.
